Susan Chapman-Hughes, a member of the Board of Directors of Potbelly Corporation, the Chair of the Compensation Committee of the Board and a member of the Nominating and Corporate Governance Committee of the Board, and Dan Ginsberg, the Chairman of the Board and the Chair of the Nominating and Corporate Governance Committee of the Board, resigned from the Board effective as of June 8, 2020 and June 9, 2020, respectively. Ms. Chapman-Hughes and Mr. Ginsberg each indicated that her or his resignation is not related to any disagreement with Potbelly or with Potbelly's operations, policies, or practices. Effective upon Ms. Chapman-Hughes' and Mr. Ginsberg's resignation as directors, the size of Potbelly's Board was reduced from ten to eight directors. As Chairman of the Nominating and Corporate Governance Committee of the Board, Mr. Joe Boehm will serve as Lead Director of the Board until such time the Board appoints a new Chair.
