New Composition of Board of Directors & Re-appointment of the President & CEO

Dear Sir,

We wish to inform you that in our 31' Annual General Meeting convened on 27 March 2023 at 10:00 a.m. at 2" Floor, 307 - Upper Mall Scheme, Lahore as well as through video-link facility (Zoom), following Directors have been elected unopposed:

1.	Mr. Alauddin Feerasta	Non-Executive Director
2.	Mr. Nooruddin Feerasta	Non-Executive Director
3.	Mr. Ahmed A. Feerasta	Non-Executive Director
4.	Mr. Manzoor Ahmed	Non-Executive Director - NIT Nominee
5.	Mr. Jamil Hassan Hamdani	Independent Director
6.	Ms. Navin Salim Merchant	Independent Director
7.	Mr. Tariq Hafeez Malik	Independent Director

Above mentioned Directors are elected for a term of three years commencing from 28111 March 2023. However, their appointment would be subject to clearance by the State Bank of Pakistan under the Fit & Proper Test requirements as prescribed under Corporate Governance Regulatory Framework.

Further, Mr. Muhtashim Ahmad Ashai, President & CEO of the Bank has been re-appointed by the Board in its 196th meeting convened on 22 February 2023 for a term of three years effective from 01 April 2023 subject to his FPT clearance. It is also notified that President & CEO of the Bank will continue to be a deemed Director in terms of Article 50 of the Articles of Association of the Bank read with Sub-section (3) of Section 188 of the Companies Act, 2017.

Soneri Bank Limited is a Pakistan-based company, which is engaged in banking services. The Bank operates through four segments: Retail Banking, Corporate, Islamic, and Trading and Sales. Retail Banking segment provides all retail related lending's and banking services (including staff, consumer, and SME financing) as well as deposits mobilized from retail branches. Its Corporate segment includes providing financing and services to corporate customers including services in connection with mergers and acquisitions, underwriting, privatization, securitization, syndication, initial public offers (IPOs), and others. It also includes deposits mobilized from corporate branches. Its Islamic segment includes Islamic branches income and expenses. Its Trading and Sales segment includes fixed income, equity, foreign exchanges, lending's and repos. The Bank operates with approximately 412 including 41 Islamic banking branches. It has a network of approximately 370 ATMs across the country.
