VOLUNTARY DE-REGISTRATION OF A WHOLLY-OWNED SUBSIDIARY

The board of directors (the "Board" or "Directors") of Sunrise Shares Holdings Ltd. (the "Company", and together with its subsidiaries, collectively the "Group") wishes to announce that the Company has on today received the notification that the de-registration ("De- registration") of its wholly-owned subsidiary, Australia Sunrise Consultant Management Pty. Ltd. ("Australia Sunrise") has been approved by Australian Securities and Investments Commission and the De-registration took effect on 10 November 2021. Australia Sunrise has been dormant since 16 January 2020.

The De-registration of Australia Sunrise is not expected to have any material impact on the net tangible assets and earnings per share of the Company and the Group for the current financial year ending 31 December 2021.

None of the Directors or Substantial Shareholders of the Company has any interest, direct or indirect, in the De-registration, save for their respective shareholdings in the Company.
