Argo Holdings Co., Ltd entered into a contract to acquire Theatres Servicer Co., Inc. Tsubame Investment Co., Ltd. Global Investment Co., Ltd. and Raysum Capital Investment Co., Ltd. from Raysum Co., Ltd. (JASDAQ:8890), Global Asset Management Co.,Ltd. and others on August 13, 2018. Under the terms of the contract, Argo Holdings Co., Ltd will acquire 1005 stake in Theatres Servicer Co., Inc. from Global Asset Management Co, Ltd, 62.9% stake in Tsubame Investment Co., Ltd. from Global Investment Co., Ltd. and 36.5% stake from Raysum Capital Investment Co., Ltd and Argo Holdings Co., Ltd will acquire 100% stake in Global Investment Co., Ltd. and Raysum Capital Investment Co., Ltd from Raysum Co., Ltd. Argo Holdings Co., Ltd will acquire 14000 shares of Theatres Servicer Co., Inc., 0.9 million shares of Tsubame Investment Co., Ltd. 200 shares of Global Investment Co., Ltd. and 60 shares of Raysum Capital Investment Co., Ltd. Theatres Servicer Co., Inc. reported net assets of ¥811 million and total assets of ¥1.3 billion as of March 31, 2018. Tsubame Investment Co., Ltd. reported net assets of ¥139 million and total assets of ¥790 million as of March 31, 2018. Global Investment Co., Ltd. reported net assets of ¥0 and total assets of ¥1 million as of March 31, 2018. Raysum Capital Investment Co., Ltd. reported net assets of ¥93 million and total assets of ¥93 million as of March 31, 2018. The transaction is resolved by the Board of Raysum Co., Ltd. The transaction is expected to complete on November 1, 2018.
