UMENOHANA Co., Ltd. (TSE:7604) agreed to acquire Maruhira Shoten K.K., Yamaguchi Suisan Co., Ltd. and Good Mark Trading K.K. from Ryugi Miyoshi and others on September 5, 2016. UMENOHANA will acquire 100% stake in Maruhira Shoten K.K. and Yamaguchi Suisan Co., Ltd. and Good Mark Trading K.K. UMENOHANA Co., Ltd. (TSE:7604) will acquire 90% stake in Maruhira Shoten from Ryugi Miyoshi and 10% from others. UMENOHANA will acquire 100 shares of Maruhira, 200 shares of Yamaguchi and 1,050 shares of Good Mark Trading, K.K. All the three companies will operate as subsidiaries of UMENOHANA Co., Ltd. The transaction has been resolved by the Board of UMENOHANA. The contract is expected to be signed on September 16, 2016 and is expected to close on October 3, 2016.

UMENOHANA CO., LTD. is a company mainly engaged in the operation of restaurants. The Company operates in three business segments. The Catering segment is engaged in the operation of Japanese and Chinese style restaurants under the names UMENOHANA, CHINA UMENOHANA and KANISHIGE, among others. It offers bean curd skin and bean curd course dishes, drinks, crab course dishes, Chinese course dishes and Chinese delicatessens. This segment is also engaged in the provision of take out services for lunch boxes and others, as well as the royalty business. The Takeout segment is engaged in the operation of takeout stores under the names KOICHIAN SUSHI and UMENOHANA.
